Terms of Service

These Terms of Service (“Terms”) are a contract between you and Formala (“Formala,” “we,” “us”) and govern your access to and use of the Formala website and service (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. The Service

Formala provides an AI-powered contact assistant that you embed on your website to greet visitors, answer questions, qualify inquiries, and deliver structured leads to you. Features and plans may change over time.

2. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Provide accurate information and keep it up to date.

3. Your responsibilities for visitor data

You decide what your Formala widget collects and how you use the resulting leads. You are the controller of your visitors' personal data. You represent that you will:

• provide your visitors with any legally required notice and obtain any required consent; • have a lawful basis to collect and process their data; • comply with all applicable privacy, marketing, and anti-spam laws (for example when sending follow-up emails); and • not use the Service to collect sensitive data you are not authorized to handle.

You will indemnify us for claims arising from your data practices or your use of the Service in violation of these Terms or law.

4. Acceptable use

You agree not to: use the Service for anything illegal, harmful, deceptive, or abusive; send spam or unlawful communications; upload malware; attempt to break, overload, reverse-engineer, or gain unauthorized access to the Service; scrape or resell it; or use it to build a competing product. We may suspend accounts that put the Service or others at risk.

5. AI-generated content

The assistant's responses are generated by AI and may be inaccurate or incomplete. You are responsible for how you use them, and you shouldn't rely on them as professional advice. We are not responsible for statements the assistant makes to your visitors; you control its configuration, knowledge, and guardrails.

6. Plans, fees & billing

Paid plans are billed in advance on a recurring basis through Stripe at the prices shown when you subscribe. Plans include a monthly conversation allowance; if you enable pay-as-you-go overage, additional conversations are billed at the posted rate up to the cap you set.

Fees are non-refundable except where required by law. You authorize us and Stripe to charge your payment method for all fees. Taxes may apply. We may change prices with prior notice; changes take effect at your next billing cycle.

7. Free trial

We may offer a free trial (currently 30 days / 30 conversations, no card required). At the end of the trial, unless you choose a paid plan, your widget switches to a static fallback form and paid features stop. We may change or end trials at any time.

8. Cancellation

You can cancel anytime from your billing settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. We don't provide prorated refunds unless required by law.

9. Intellectual property

We own the Service and everything in it except your content. You own the content and data you and your visitors submit (“Your Content”), and you grant us the limited license needed to operate and provide the Service (including sending it to our sub-processors as described in the Privacy Policy). The Formala name and logo are our trademarks.

That license is limited to running the Service for you. We do not use Your Content to train AI models, we do not sell it, and we do not use it to improve the Service for other customers.

You can delete Your Content at any time, in either of two ways. Deleting from your lead list moves leads to a trash you can restore from for 30 days, after which they are permanently removed; deleting an individual lead from its own page is immediate and permanent. Deleting your account removes your content on the 30-day basis. See Privacy for the detail, including what happens to backups and what we are required to keep.

10. Third-party services

The Service integrates with third parties (such as Stripe, and any webhooks or integrations you configure). Your use of those services is governed by their terms, and we are not responsible for them.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, to the fullest extent permitted by law. We don't warrant that the Service will be uninterrupted, error-free, or that it will capture every lead.

12. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve (12) months before the event giving rise to the claim.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

14. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, and disputes will be resolved in the state or federal courts located in Delaware.

15. Changes to these Terms

We may update these Terms from time to time. We'll post the new version here and update the date above; material changes will get additional notice where required. Continuing to use the Service means you accept the updated Terms.
